Organizer Agreement

ATTORNEY REVIEW REQUIRED. Agreement with [LEGAL ENTITY REQUIRED], [BUSINESS ADDRESS REQUIRED]; effective date pending approval. Applies separately to organizers/promoters using OUTSYDE to publish or sell for future events. General Terms and Privacy Policy also apply. You represent authority to create the event, offer/sell tickets, collect event revenue, use the venue, artist names and submitted flyers/images/trademarks, and bind any represented organization.

Supply accurate dates, times, location, prices, age/ID rules, lineup and refund/cancellation policy. Promptly correct material changes and cooperate in notifying attendees. Obtain permissions, licenses, permits, insurance, artist agreements, public-performance/music permissions, security/staffing, alcohol/age compliance and accessibility arrangements to the extent applicable to YOUR event. No statement here means every event needs every listed item. Do not publish unconfirmed claims as verified facts.

You produce and operate the event. OUTSYDE supplies technology, discovery, ticketing and payment administration and can provide separately requested promotion services. Native ticket payments are Stripe Connect destination charges on the platform account, with proceeds allocated to your connected account and an application fee to OUTSYDE. OUTSYDE is not described as having no payment responsibility. Merchant/settlement characterization, tax treatment and customer-facing responsibilities are [COUNSEL REVIEW REQUIRED].

Current ticket model: OUTSYDE deducts 5% per ticket, rounded to whole cents; organizer proceeds are the balance, approximately 95%, before refunds/reversals or other applicable adjustments. Buyer pays listed ticket price times quantity, with no added OUTSYDE buyer fee. OUTSYDE currently pays original card processing costs. Free RSVP has no OUTSYDE ticket fee. Payout arrival depends on Stripe verification, account status, available balance, payout schedule, banking and provider risk restrictions; no immediate or guaranteed arrival is promised. This draft grants no new platform reserve, bank debit or automatic future-offset power unsupported by implementation.

Payment functionality is provided through Stripe. Review the current Stripe Connected Account Agreement at Stripe Connected Account Agreement and the incorporated country-appropriate Stripe Services Agreement. Stripe hosted/embedded onboarding handles Stripe’s own required acceptance; this OUTSYDE acceptance is separate. Keep verification and account information accurate. You authorize OUTSYDE, within applicable provider rules and law, to create/link the connected account, exchange necessary profile/identity and transaction data with Stripe, read account status/capabilities/balance/payment information, initiate the implemented payment allocations/application fees, create onboarding/dashboard sessions, and perform supported refund transfer reversals/application-fee refunds. Access is scoped to administering platform services, not unrestricted authority over your business. Stripe may impose verification, payout delays or risk restrictions under its terms.

PENDING REFUND IMPLEMENTATION REVIEW. Working-tree code reconciles succeeded full/partial Stripe Dashboard refunds by reversing proportional original transfers and refunding proportional OUTSYDE application fees; original card processing remains OUTSYDE’s cost. This is not a verified deployed guarantee. Organizers must cooperate in lawful refunds, cancellations, postponements, material date/venue changes, customer communication and record production even after payout. Reversal/recovery is subject to Stripe’s actual balance and account rules; failed reversals require remediation. Concurrent dispute reconciliation now also holds/reverses organizer net proceeds during disputes and restores eligible proceeds on a win; this requires implementation and Stripe testing review. No universal automatic bank recovery, cancellation-triggered refund, or reserve/offset system is asserted. Cooperate promptly with evidence for legitimate payment disputes and suspected fraud; do not discourage lawful chargebacks. Destination-charge dispute exposure initially rests with the platform under Stripe rules. Current working-tree dispute reconciliation reverses/holds net organizer proceeds and restores eligible amounts on a win; contractual allocation and production operation remain pending review. [COUNSEL REVIEW REQUIRED]: organizer reimbursement for substantiated event-related reversals/disputes, negative balances, collection and safeguards. You determine and meet applicable event/tax obligations, subject to platform obligations imposed by law; no tax or merchant-of-record conclusion is supplied.

Use attendee data only for event administration and separately permitted communications; protect it, honor opt-outs and applicable rights, and do not treat possession as unlimited ownership or marketing consent. Do not import lists without sufficient rights. General Terms/Privacy acceptance is not promotional email/SMS opt-in. Current mandatory marketing checkout behavior requires correction before this agreement is relied on.

You retain your IP and grant the limited operating/event-promotion license in General Terms. Gemini may extract flyer details or enrich public event/artist information; configured Replicate may generate draft event copy from prompts. Approve facts, pricing, restrictions, artist bookings and advertising claims before publishing assisted drafts. Public-source enrichment may publish without individual organizer approval, so correct inaccuracies through support/claims. Automated outputs are not represented as organizer-authored endorsements. Image generation is currently disabled in the audited endpoint.

When enabled, the manual promotion request separately shows ad budget, OUTSYDE management fee and total; it is a platform service purchase, not organizer ticket proceeds. Campaign timing/acceptance is subject to review and Meta policies/availability. You must approve factual creative and have rights to supplied assets; OUTSYDE must confirm actual campaign arrangements. No impressions, clicks, sales, ROI or Meta endorsement are guaranteed. PENDING PROMOTION IMPLEMENTATION REVIEW: documented creative approval, actual-spend reconciliation and unused-budget/management-fee refund handling must be implemented and agreed before launch; payment alone is not approval of unspecified terms.

OUTSYDE can proportionately restrict future publishing/sales for legal, fraud or security reasons, with support review where feasible. Declining new future-facing terms will not by itself prevent access to payouts or money already owed. Accrued lawful obligations survive closure.
